Terms of Service

These terms govern your use of the InvManage platform and hardware.

1. Acceptance of Terms

By deploying InvManage hardware, accessing the InvManage dashboard, or otherwise using our services, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, you represent that you have the authority to bind that company.

2. Hardware Leases

Edge nodes deployed at your facility remain the property of InvManage. You are responsible for protecting the hardware from physical damage beyond normal warehouse wear and tear.

3. Use of the Platform

We grant you a limited, non-exclusive, non-transferable license to access and use the InvManage dashboard and software for your own internal inventory operations. You may not resell, sublicense, reverse-engineer, or use the platform to build a competing product.

4. Service Level Agreement (SLA)

Enterprise tiers guarantee 99.9% uptime for the Azure cloud dashboard, with AWS-backed failover for critical alerting workloads. Standard pilots operate on a best-effort basis.

5. Fees & Payment

Fees for hardware, deployment, and subscription access are set out in your order form or contract. Unless otherwise agreed in writing, invoices are due within 30 days of receipt, and overdue balances may result in suspension of dashboard access until settled.

6. Data Ownership

You retain ownership of all inventory, telemetry, and operational data generated at your facility. InvManage may use aggregated, de-identified data to improve our detection models and services, as described in our Privacy Policy.

7. Limitation of Liability

InvManage provides predictive analytics. We are not liable for stockouts or inventory losses. Operational interventions remain the responsibility of your facility's management. To the maximum extent permitted by law, our aggregate liability under these terms is limited to the fees paid by you in the 12 months preceding the claim.

8. Termination

Either party may terminate a standard pilot agreement with 30 days' written notice. Enterprise contracts follow the termination terms set out in the applicable order form. Upon termination, InvManage hardware must be returned or decommissioned within 15 business days.

9. Governing Law

These terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict-of-law principles. Any dispute arising from these terms will be subject to the exclusive jurisdiction of the courts of Imo State, Nigeria.

10. Changes to These Terms

We may update these terms from time to time. Material changes will be communicated to active customers at least 30 days before taking effect. Continued use of the platform after changes take effect constitutes acceptance of the updated terms.
